1. Who we are
PropConnect is a trading name operated by Vita Industries (a division of Vita Professional Services Ltd), registered in England and Wales. Our registered address and contact email is vita.proservicesltd@gmail.com. We operate a private membership platform for verified property professionals.
2. Acceptance of terms
By creating an account and ticking the acceptance checkbox at signup, you confirm that you have read, understood, and agree to be bound by these Terms of Use and Privacy Policy in full. If you do not agree, you must not use the platform. These terms constitute a legally binding agreement between you and Vita Industries.
3. Eligibility
Membership is open to verified property professionals only. By applying you confirm that you are acting in a professional capacity as an estate agent, letting agent, or property operator. You confirm that all credentials submitted during signup are accurate and current. Providing false or misleading credentials, including but not limited to Companies House numbers, CMP scheme membership, ARLA membership, or redress scheme registration, constitutes fraud. Vita Industries reserves the right to report such conduct to the relevant regulatory body and to pursue all available legal remedies. Providing false information will result in immediate removal without refund.
4. Application fee
A one-off, non-refundable application fee of £15 is payable at the point of signup. This fee covers the cost of reviewing your credentials and processing your application. Payment of the application fee does not guarantee membership. Vita Industries reserves the right to reject any application at its sole discretion without providing a reason, and no refund of the application fee will be made in such cases.
5. Membership and billing
Upon approval, full Pro membership is available at £99 per month, billed monthly on a rolling basis. You may cancel at any time by contacting vita.proservicesltd@gmail.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Vita Industries reserves the right to change membership pricing with 30 days written notice to active members. Membership is personal and non-transferable. You must not share your login credentials with any other person. One account per agent or company is permitted unless otherwise agreed in writing with Vita Industries.
6. Platform conduct and prohibited activity
Members agree not to use PropConnect to circumvent introductions. You must not contact a landlord, vendor, or tenant introduced to you through the platform directly and outside the platform without the introducing agent's consent and without honouring any agreed referral arrangement. Breach of this clause may result in immediate removal from the network without refund and Vita Industries reserves the right to pursue damages for lost referral fees. You must not share listing details, agent contact information, or any content from the platform with non-members. You must not use the platform to spam, harass, or make unsolicited contact with other members.
7. Non-solicitation
Members must not use contact details, introductions, or relationships formed through PropConnect to directly solicit other members' clients, landlords, or tenants outside of the platform without that member's consent. This obligation continues for a period of 12 months following cancellation or termination of membership.
8. Accuracy of listings
Members are solely responsible for the accuracy, completeness, and legality of any property listings they post on the platform. Vita Industries does not verify listing information and accepts no liability for any loss arising from inaccurate, misleading, or fraudulent listings. Members who post false or misleading listings may be removed immediately without refund.
9. Referral arrangements
Where a referral arrangement is agreed between members through the platform, both parties are responsible for honouring that arrangement. Vita Industries is not a party to referral agreements between members and accepts no liability for disputes arising from them. Vita Industries is not an arbitrator of referral fee disputes. Members are encouraged to document agreed arrangements in writing independently of the platform.
10. Limitation of liability
Vita Industries provides PropConnect as a facilitation tool only. We do not verify the accuracy of listings or other content posted by members. We accept no liability for any loss, damage, or dispute arising from introductions made through the platform. Our total liability to any member shall not exceed the amount paid by that member in the preceding 12 months.
11. Termination
Vita Industries reserves the right to suspend or terminate any membership at any time, with or without notice, if a member has breached these terms, provided false information, or acted in a manner detrimental to other members or the platform. No refund will be made in cases of termination for breach. Members may request termination at any time by contacting us, effective at the end of the current billing period.
12. Data we collect
We collect your name, company name, email address, and professional credentials including Companies House number, CMP scheme, deposit scheme, ARLA membership, and redress scheme membership. We also collect activity data including properties listed and expressions of interest made.
13. How we use your data
Your data is used solely to operate your account, verify your credentials, display your profile to approved members, and facilitate connections between members. We do not sell your data to third parties and do not use it for advertising.
14. Data storage
Your data is stored securely using Supabase, hosted in the EU (London region), compliant with UK GDPR. Payments are processed by Stripe Inc and subject to Stripe's own privacy policy. We do not store card details.
15. Your rights
Under UK GDPR you have the right to access, correct, restrict processing of, or delete your personal data at any time. Contact vita.proservicesltd@gmail.com. We will respond within 30 days. You also have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk.
16. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Changes to these terms
Vita Industries may update these terms at any time. Active members will be notified of material changes by email with 30 days notice. Continued use of the platform after that period constitutes acceptance of the updated terms.
